PNN - PrideNation Network (PNN) Annual Sweepstakes 2008-2009
No purchase necessary to enter or win. Product purchase will not enhance chances of winning a prize.

1. ELIGIBILITY
The PNN Annual Sweepstakes (the "Sweepstakes") is offered and open only to legal residents of United States and its territories (except residents of Puerto Rico) and Canada (except residents of Quebec) at least 18 years old and who have an active e-mail account and Internet access at the time of entry. Employees and directors of AEU Media Group, LLC("AEU"), d/b/a PrideNation.com ("Sponsor"), their parents, affiliated and subsidiary companies, advertising and promotion agencies, judges and legal advisors, and the immediate family or members of the households of such employees and directors are not eligible. By entering, you agree to these "Official Rules" and that the decisions of Sponsor and AEU Media Group ("AEU") are final and binding in all respects.
Void in the Province of Quebec and where prohibited.

2. PROMOTIONAL PERIOD
Sweepstakes Period begins on July 15, 2008 at 12 PM. Pacific Time (PT), and ends on January 31, 2009 at 11:59:59 p.m. PT (the "Sweepstakes Period"). The Sweepstakes Period shall consist of consecutive 24-hour periods (each a "Day") commencing as of 5:00 a.m. PT each day and ending on the following day at 4:59:59 a.m. PT, except that the final Day of the Sweepstakes Period shall end at 11:59 p.m. PT. Sponsor reserves the right to terminate the Sweepstakes by giving notice during any calendar month, deemed appropriate by Sponsor, in which case the Sweepstakes will terminate on the last day of that calendar month. The Grand Prize will nevertheless be awarded as stated below in the event of any early termination based upon all entries received prior to the moment of termination.

3. ENTRY
There are two ways to enter the Sweepstakes: the "Internet Method" and the "Mail-In Method".
Internet Method: To enter the Sweepstakes by means of the Internet, access the pridenation.com website located at http://www.pridenation.com (the "Website"). Games and contests are located on the sub page located at http://pridenation.com/contest.htm. To enter the Sweepstakes, your computer must accept cookies, or any successor or similar technology (whether now known or hereafter devised or discovered) which may be used by Sponsor for the purpose of tracking entries into the Sweepstakes. Your computer must be able to run the latest version of flash, JAVA and other sources in order for contest platforms to work.

Each day there will be unspecified amount of announcements on PNN Radio, Proud TV and online announcing that the scratcher game and/or prize machine has been activated. AEU does not guarantee that, each time the games are activated, there will be a winner for that particular activation. Sponsor reserves the right, by notification via the Website, email or other method of communication as reasonably determined by Sponsor, to offer additional methods of entry from time to time during the Sweepstakes Period. The number of entries for any activity or action may be changed by Sponsor at any time in its sole discretion.

Mail-in Method: Sponsor is also offering a drawing for unclaimed prizes each month. Unclaimed prizes are determined by the sponsor and some unclaimed prizes are made available to the next months' prize pool. To enter this drawing, on a 3"x5" card in black or blue ink hand print your full name, complete home address (including zip code), date of birth, gender, email address, and in the upper right hand corner of the card, your home phone number (including area code) followed by your first, middle and last initials and mail in a first class stamped #11 envelope to: PrideNation Sweepstakes, 777 North Palm Canyon Dr. STE 102, Palm Springs, CA 92262. Limit 1 card per person per month. ALL OTHER MAIL-IN ENTRIES ARE VOID. To obtain the entry available for any month, the card must be postmarked during that month and received within 7 days after the end of that month.
Unless otherwise specified in writing on the Website, any other attempt to enter by Internet, email, mail-in entry or otherwise is void.

Entrants may not enter with multiple email and/or multiple identities nor may entrants use any other device or artifice to obtain more than the maximum number of entries. Any entrant who attempts to participate with multiple email and/or multiple identities or uses any device or artifice to obtain more than the maximum number of entries may be disqualified. All entries (up to the maximum) accumulated in any Day will become entries into the Grand Prize drawing. Sponsor reserves the right to increase or decrease the maximum number of entries permitted per Day. Any such increase, decrease will be announced on the Website and/or by an email from Sponsor in which case the increase, decrease will become effective on the first day of the calendar month following the date on which notice is given. Sponsor shall, however, be under no obligation to make any such increase or decrease.
No participant can receive more than the maximum number of permitted entries for the Sweepstakes Period, which number shall be one mail-in entry and online entry limited to amount of announcement activations each day.


4. PRIZE/ODDS
Odds of winning depend on the number of eligible entries received, the number of activation announcements each day and number of unclaimed prizes each month (for mail in entries). No assignment, transfer or substitution of any prizes are permitted. All prizes are expressed in U.S. Dollars.
Taxes are the sole responsibility of winner.
A prize won by a minor (as minor is defined by the jurisdiction of minor's residence) may be forfeited and awarded to an alternate Winner.

5. GENERAL CONDITIONS
Winners must complete, execute and return an Affidavit of Eligibility, a Liability Release, and where lawful, a Publicity Release within 7 days of notification in a form provided by Sponsor. Failure to timely return any documents, or if prize notification or prize is returned as non-deliverable, or if Winner is found not to be in compliance with these Official Rules or otherwise ineligible, may result in disqualification with an alternate Winner selected.
Where permitted by law, you, (and in those instances when interim drawings have taken place, those who have been selected in the interim drawings) hereby give permission to Sponsor and AEU, and their respective parent, distributors, affiliates, subsidiaries, officers, vendors, advertising agencies and promotion agencies and their respective directors, officers, employees, representatives and agents permission to use, reproduce, exhibit, display, print, distribute, publish and broadcast, without any obligation to compensate you, your name, city/state, picture, portrait, likeness, voice, biography, and winner's statement, contained in, or relating to, your entry in the Sweepstakes in any and all advertising marketing and promotional materials, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, except where prohibited by law, and without notice, approval or review by you.
Where permitted by law, you, and on behalf of your heirs, executors, administrators and assigns, agree to release and hold harmless Sponsor and AEU, and their parents, distributors, affiliates, subsidiaries, officers, vendors, advertising agencies and promotion agencies, and each of their respective directors, officers, employees, representatives and agents from any and all liability for, or relating to, any and all rights, claims and causes of action whatsoever that you may have, or which may arise, against any of the foregoing for any matter or cause whatsoever, including without limitation, any injuries, loss or damage of any kind, whether direct or compensatory, incidental, consequential or otherwise to any person, including death, and property damage, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the Prize, your participation in any Sweepstakes related activity, or your participation in the Sweepstakes.
Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or the Website; to be in violation of the Terms of Service of the Website; to be acting in violation of the Official Rules; to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.
Any use of robotic, automatic,manual, macro, programmed or like entry methods will void all such entries by such methods and persons using any such methods will be disqualified.
If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right to cancel, terminate, modify or suspend the Sweepstakes and conduct a random drawing to award the Grand Prize using all eligible entries received as of the termination date. If the Sweepstakes is terminated due to tampering or technical difficulties prior to its expiration date, notice will be posted at http://www.pridenation.com
ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND AEU RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM THOSE RESPONSIBLE TO THE FULLEST EXTENT PERMITTED BY LAW.

6. LIMITATIONS OF LIABILITY
NEITHER SPONSOR NOR AEU ARE RESPONSIBLE FOR LATE, LOST, ILLEGIBLE, MISDIRECTED, STOLEN, UNDELIVERED, SEPARATED, OR POSTAGE DUE ENTRIES OR MAIL, AND NEITHER SPONSOR NOR AEU ASSUME RESPONSIBILITY FOR ANY ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMMUNICATIONS LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO ITS WEBSITES. NEITHER SPONSOR NOR AEU ARE RESPONSIBLE FOR ANY PROBLEMS OR TECHNICAL MALFUNCTION OF ANY TELEPHONE NETWORK OR TELEPHONE LINES, COMPUTER ON-LINE SYSTEMS, SERVERS, COMPUTER EQUIPMENT, SOFTWARE, FAILURE OF ANY E-MAIL OR ENTRY TO BE RECEIVED BY SPONSOR ON ACCOUNT OF TECHNICAL PROBLEMS, HUMAN ERROR OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE, OR ANY COMBINATION THEREOF.
NEITHER SPONSOR NOR AEU ARE RESPONSIBLE FOR ANY INCORRECT OR INACCURATE CAPTURE OF INFORMATION OR THE FAILURE TO CAPTURE SUCH INFORMATION, WHETHER CAUSED BY WEBSITE USERS, TAMPERING OR HACKING, OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE SWEEPSTAKES. NEITHER SPONSOR NOR AEU ARE RESPONSIBLE FOR INJURY OR DAMAGE TO PARTICIPANTS' OR TO ANY OTHER PERSON'S COMPUTER RELATED TO OR RESULTING FROM PARTICIPATING IN THIS SWEEPSTAKES OR DOWNLOADING MATERIALS FROM OR USE OF THE WEBSITE.
IN NO EVENT WILL SPONSOR OR AEU THEIR PARENTS, DISTRIBUTORS, AFFILIATES, SUBSIDIARIES, OFFICERS, VENDORS, ADVERTISING AGENCIES AND PROMOTION AGENCIES AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THIS SWEEPSTAKES, GAMES AND CONTESTS, ACCESS TO AND USE OF THE WEBSITE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE WEBSITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE WEBSITE AND IN THIS SWEEPSTAKES IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. 7. ARBITRATION AND DISPUTES
As a condition of participating in this Sweepstakes, you agree that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, or the determination of the Winner shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering this Sweepstakes), and you further waive all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or your rights and obligations or Sponsor's or AEU's rights and obligations in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof, and all proceedings shall take place in that State in the City of Palm Springs, County of Riverside.
In the event of a dispute as to the identity of the Winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

8. WINNERS LIST
To obtain the name of the Winner, mail a self-addressed stamped envelope for receipt by Jan 1, 2009 to: PrideNation Prize Winners, 777 N Palm Canyon Dr. STE 102, Palm Springs, CA 92262. To obtain a copy of the Official Rules, mail a self-addressed stamped envelope to the above address marked "Official Rules: Scratch & Yank Sweepstakes" for receipt by March 1st, 2009 by 11:59 p.m. PT on Jan 1, 2009. Residents of Canada may omit return postage. The name of the Winners will also be posted at http://www.pridenation.com.
